    AMENDMENTS TO CORPORATE LAW IN KAZAKHSTAN EFFECTIVE FROM JULY 1, 2026

    As of July 1, 2026, amendments related to the updating of the trade register of a legal entity or information in the legal entities database come into force and are applied.

    The notification-based procedure for updating the legal entities database remains unchanged.

    As you know, Kazakhstan is gradually implementing a notification-based procedure for updating information about legal entities. In particular, the notification procedure is applied in the following cases:

    • the registered address is changed;
    • the chief executive (head of the entity) is changed;
    • the OKED (economic activity classification code) is changed;
    • the composition of participants (shareholders) is changed;
    • the charter capital is increased;
    • a participation interest is transferred into trust management;
    • the beneficial owner of the legal entity is changed.

    Updating Information Within 3 Business Days

    In accordance with the amendments to the Law on the State Registration of Legal Entities No. 1298, changes to the information of a legal entity will be made automatically within 3 business days based on the submitted documents.

    Refusal to Update Information

    Previously, the State Corporation “Government for Citizens” refused to update information if there were court restrictions, arrests, or enforcement proceedings in relation to a legal entity. Starting from July 1, 2026, additional grounds for refusal to update information will apply:

    • if the director or the legal entity has tax arrears exceeding 194,000 tenge or 45 MCI (monthly calculation index);
    • if documents are invalid or have been lost.

    The previous grounds for refusal remain unchanged:

    • the director is legally incapacitated or declared missing;
    • the director, founder, or the legal entity itself is a director or participant of other inactive legal entities, among other grounds;
    • for foreign citizens, the absence of documents required under the Migration Law (business visa C5).

    The approval-based procedure remains applicable to joint-stock companies

    It is important to note that the amendments do not apply to joint-stock companies. For these entities, the same approval-based procedure remains in place.
